1. Acceptance of Terms

These Terms and Conditions ("Terms") form a binding agreement between you and Zyneticai ("Zyneticai," "we," "us," or "our"), a company based in Boston, Massachusetts, USA, governing your access to and use of the website located at zyneticai.com and all related services (collectively, the "Service"). By creating an account, accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Service

Zyneticai is an AI creative studio that allows users to generate 4K video, images, music and written content from text prompts and uploaded media using proprietary and third-party artificial intelligence models. Features, pricing, generation limits and available tools may change over time at our discretion.

3. Eligibility & Accounts

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service, and at least 18 years old, or have the consent of a parent or legal guardian, to make purchases. You agree to provide accurate registration information and to keep your login credentials confidential. You are responsible for all activity that occurs under your account.

4. Subscriptions, Billing & Credits

Zyneticai offers a free tier with limited generation credits, as well as paid subscription plans that unlock higher resolution output, longer videos and additional credits. By subscribing to a paid plan, you authorize us (or our payment processor) to charge your chosen payment method on a recurring basis until you cancel.

• Subscription fees are billed in advance and are non-refundable except where required by law or expressly stated otherwise.
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing cycle.
• We may change subscription pricing or credit allowances with advance notice; continued use after the change takes effect constitutes acceptance.
• Unused generation credits may expire at the end of a billing cycle unless otherwise stated on the pricing page.

5. Your Content & License to Us

"User Content" means any text prompts, images, audio, video or other material you submit to the Service. You retain all ownership rights in your User Content. By submitting User Content, you grant Zyneticai a worldwide, non-exclusive, royalty-free license to host, store, process and use that User Content solely to operate, provide and improve the Service, including generating your requested output.

You represent and warrant that you own or have the necessary rights to any User Content you submit, and that it does not infringe or violate the rights of any third party.

6. Ownership of Generated Output

Subject to your compliance with these Terms, you own the video, image, music and text output generated through your use of the Service ("Generated Output") and may use it for personal, commercial or marketing purposes. Because Generated Output is produced using AI models, similar or identical output may be generated for other users from similar prompts, and Zyneticai makes no guarantee of exclusivity over any Generated Output.

Zyneticai does not claim ownership of your Generated Output, but retains ownership of the underlying AI models, software, templates and technology used to create it.

7. Acceptable Use Policy

You agree not to use the Service to create, upload or distribute content that:

• Is unlawful, defamatory, obscene, pornographic or sexually exploitative of any person, including any depiction of a minor;
• Infringes any copyright, trademark, publicity or other intellectual property or privacy right of a third party;
• Depicts real, identifiable individuals without consent in a misleading, harassing or defamatory manner, including non-consensual "deepfake" content;
• Promotes violence, terrorism, hate speech, discrimination or self-harm;
• Contains malware or is intended to disrupt, damage or gain unauthorized access to any system;
• Is used to generate spam, disinformation or to impersonate any person or entity;
• Attempts to reverse-engineer, scrape or extract the underlying AI models or bypass usage limits or security features.

We reserve the right to remove content and suspend or terminate accounts that violate this Acceptable Use Policy.

8. Our Intellectual Property

The Service, including its software, AI models, design, text, graphics, logos and trademarks (excluding your User Content and Generated Output), is owned by Zyneticai or its licensors and is protected by copyright, trademark and other intellectual property laws. You may not copy, modify, distribute or create derivative works of the Service except as expressly permitted by these Terms.

9. Third-Party AI Models & Disclaimers

The Service relies on a combination of proprietary and Advance third-party AI models. AI-generated content may occasionally be inaccurate, unexpected or unsuitable for your intended purpose. You are responsible for reviewing Generated Output before publishing or relying on it, and Zyneticai disclaims responsibility for decisions made based on AI-generated content.

10. Copyright / DMCA Policy

Zyneticai respects the intellectual property rights of others. If you believe content generated or hosted on the Service infringes your copyright, please send a notice containing your contact information, a description of the copyrighted work, the location of the allegedly infringing material, and a statement of good faith belief that the use is unauthorized, to our designated agent at copyright@zyneticai.com. We will respond in accordance with the Digital Millennium Copyright Act.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, misuse the Service, or if required to comply with legal obligations. Upon termination, your right to use the Service will immediately cease, and outstanding fees remain payable.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE. AI-GENERATED OUTPUT MAY CONTAIN INACCURACIES, AND ZYNETICAI DOES NOT WARRANT THE ACCURACY, QUALITY OR SUITABILITY OF ANY GENERATED OUTPUT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYNETICAI AND ITS OFFICERS, EMPLOYEES AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES ARISING OUT OF YOUR ACCESS TO OR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZYNETICAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Zyneticai, its officers, employees and affiliates from any claims, damages, losses or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, your Generated Output, or your violation of these Terms or applicable law.

15. Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Boston, Massachusetts, and you consent to personal jurisdiction in those courts. Where permitted by law, the parties may agree to resolve disputes through binding arbitration on an individual basis.

16. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will provide notice through the Service or by email prior to the changes taking effect. Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.
